Terms and Conditions
Effective Date: These Terms and Conditions apply from the date you first access or subscribe to Edupeak, and remain in effect for as long as you continue to use the platform.
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of Edupeak, a web-based business management software platform ("Edupeak," "we," "us," or "our"), including the customer relationship management, project management, HR administration, and financial record-keeping tools available through your online dashboard (together, the "Platform" or the "Service").
By creating an account, subscribing to a package, or otherwise accessing or using the Platform, you ("you," "your," "Customer," or "User") agree to be bound by these Terms. If you are agreeing to these Terms on behalf of a business, organisation, or other entity, you confirm that you have the authority to bind that entity, and references to "you" in these Terms include that entity.
If you do not agree to these Terms, you must not access or use the Platform. These Terms should be read alongside our Refund Policy and our Privacy Policy, both of which are incorporated by reference and form part of the agreement between you and Edupeak.
We may update these Terms from time to time in accordance with Section 20 below. Continued use of the Platform after any such update constitutes your acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms, the following definitions apply:
"Account" means the registered account through which you and your authorised users access the Platform.
"Business Data" means the customer records, leads, sales pipeline information, project details, tasks, employee records, HR documents, financial records, invoices, and any other information or content that you or your authorised users input, upload, or generate through use of the Platform.
"Package" means the specific subscription tier you have selected, which determines the features available to you and the usage limits that apply to your Account.
"Subscription" means your paid, one-off arrangement with Edupeak that grants you lifetime access to the Platform, in accordance with your selected Package.
"Authorised User" means any individual you permit to access your Account, including employees, contractors, or other representatives of your business.
"Stripe" means Stripe, Inc. and its affiliates, the third-party payment processor used by Edupeak to process Subscription payments.
3. About Edupeak and the Service We Provide
Edupeak is a web-based business management platform designed for small businesses, freelancers, consultants, agencies, and other service-based businesses. The Platform combines customer relationship management, project management, HR administration, and financial record-keeping tools within a single online dashboard, allowing you to manage customer records, leads, and sales pipelines; track follow-ups and customer history; organise projects, tasks, deadlines, and team assignments; maintain employee records, leave management, onboarding, and employee documents; and create invoices, record income and expenses, monitor payment status, and generate business reports.
Edupeak is a software provider only. We do not hold or transmit customer funds on behalf of third parties, process payroll, act as a payroll or employer-of-record service, provide accounting, tax, financial, investment, or legal advice, file tax returns on your behalf, or provide any regulated financial services. All financial and HR information managed through the Platform is entered by you for your own business purposes, and you remain solely responsible for the accuracy, use, and compliance of your Business Data, including for any statutory, tax, employment law, or regulatory purposes. This limitation of our role is fundamental to the nature of the Service and applies throughout these Terms.
4. Eligibility
To use the Platform, you must be at least 18 years old and have the legal capacity to enter into a binding contract. By creating an Account, you confirm that you meet these requirements, and, where you are creating an Account on behalf of a business, that you are duly authorised to do so and to bind that business to these Terms.
We reserve the right to refuse to provide the Platform to any individual or business at our discretion, including where we reasonably believe the Service is being used, or is intended to be used, for an unlawful purpose or in breach of these Terms.
5. Account Registration and Security
Accuracy of Information. When you register for an Account, you agree to provide accurate, current, and complete information, and to keep that information up to date throughout your use of the Platform.
Account Credentials. You are responsible for maintaining the confidentiality of your Account credentials, including any passwords associated with your Account and the Accounts of any Authorised Users you set up. You must notify us promptly if you become aware of any unauthorised access to, or use of, your Account.
Responsibility for Authorised Users. If your Package permits multiple Authorised Users, you are responsible for managing their access, for ensuring they comply with these Terms, and for any actions taken through their access to your Account. You may configure access permissions within your dashboard, and you remain responsible for the appropriateness of the access levels you grant.
One Account Per Business. Unless otherwise agreed with us, your Account should reflect a single business. Where you operate multiple distinct businesses, you may need to register separate Accounts, each subject to its own Subscription.
6. Subscriptions and Packages
Access via Subscription. Access to the Platform is provided exclusively through Subscription. Each Subscription is a one-off purchase that grants you lifetime access to the Platform; once your payment is successfully processed, your access does not expire and there is no recurring fee to maintain it.
Package Features and Usage Limits. Each Package combines a defined set of features with defined usage limits, such as the number of customer records, active projects, employee records, or invoices available within your lifetime access. The specific features and limits applicable to your Package are as set out on our website at the time of your Subscription, and are subject to change as described in Section 20.
Selecting the Right Package. We provide descriptions of each Package's features and usage limits on our website to help you select the option best suited to your business. While we are happy to answer questions about which Package might suit your circumstances, the decision as to which Package to select, and whether it is appropriate for your business's needs, remains yours. If your business's requirements change over time, whether because you have taken on new staff, expanded your customer base, or scaled back your operations, you are responsible for reviewing your Package selection and making any necessary adjustments.
Exceeding Usage Limits. If your use of the Platform approaches or exceeds the usage limits associated with your Package, we may notify you and invite you to upgrade to a Package with higher limits. Continued use of the Platform beyond your Package's usage limits may result in certain functionality being restricted until you upgrade, or may result in an additional charge being applied, depending on the terms applicable to your Package at the relevant time, as set out on our website.
Changing Packages. You may upgrade to a higher-tier Package at any time, subject to any conditions set out on our website, by making an additional one-off payment for that Package; upgrades typically take effect immediately. Because each Package grants lifetime access, downgrading does not reduce or refund fees already paid — you will retain lifetime access to the features included in your original Package unless you separately purchase a different Package.
Multiple Users. Where your Package supports multiple Authorised Users, the number of users permitted is subject to the limits associated with your Package. Exceeding these limits may require you to upgrade your Package.
7. Payment and Billing
Payment Processing. All Subscription payments are processed securely through Stripe. By subscribing, you authorise us, via Stripe, to charge your chosen payment method the one-off fee for your Subscription at the time of purchase.
Accepted Payment Methods. Depending on availability, you may pay by card or by Bacs Direct Debit. Where you choose Bacs Direct Debit, you authorise us to collect payments from your nominated bank account in accordance with the Direct Debit Guarantee and standard Bacs processing arrangements.
No Recurring Billing. Your Subscription is a one-off payment. There is no recurring billing: once your payment is successfully processed, you are granted lifetime access to your Package, and you will not be charged again for it.
Price Changes. We may change our Subscription prices from time to time. Any price change will apply only to new purchases made after the change takes effect, and will not affect the lifetime access already granted under a Subscription you have already purchased.
Taxes. Subscription fees may be subject to applicable taxes, such as VAT, which will be added to your invoice where required by law.
Failed Payments. If your payment for a Package fails to complete, for example due to insufficient funds or an expired card, you will not be granted access to the Platform until a successful payment is made. If a payment is later reversed, for example due to a chargeback, we may suspend or restrict the access granted by that payment until the matter is resolved.
We Do Not Store Full Card Details. Because payments are processed through Stripe, we do not store your full card details on our own servers. Please refer to Stripe's own terms and privacy practices for information on how they handle your payment data.
8. Cancellation
Because each Subscription is a one-off purchase that grants lifetime access, there is no recurring payment to cancel and nothing renews or is charged again. If you no longer wish to use the Platform, you may close your Account at any time through your Account settings, or by contacting us directly.
No Automatic Refund. Closing your Account does not, on its own, entitle you to a refund of fees already paid, except where our Refund Policy provides otherwise, such as under the 14-day money-back guarantee described in Section 9.
Effect on Business Data. Following the closure of your Account, your access to your Business Data through the Platform will end. Please refer to Section 13 for information on data retention and export following closure of your Account.
9. Money-Back Guarantee and Refunds
We offer a 14-day money-back guarantee on eligible purchases, allowing you to request a full refund of your initial Subscription payment if you decide within 14 days that Edupeak is not right for your business. Refund requests are handled in accordance with our published Refund Policy, which sets out eligibility, the request process, timescales, and exceptions in full, and which is incorporated into these Terms by reference. In the event of any inconsistency between this Section and our Refund Policy, our Refund Policy shall govern the specifics of refund eligibility and process.
10. Your Business Data and Your Responsibilities
Ownership. As between you and Edupeak, you retain ownership of all Business Data that you or your Authorised Users input into the Platform. We do not claim ownership over your Business Data.
Licence to Us. By inputting Business Data into the Platform, you grant us a limited, non-exclusive licence to host, store, process, and display that Business Data solely for the purpose of providing the Platform to you, and for other purposes set out in our Privacy Policy.
Accuracy and Compliance. You are solely responsible for the accuracy, completeness, and legality of all Business Data you input into the Platform, and for ensuring that your use of the Platform, including your collection, storage, and use of customer and employee information, complies with all applicable laws, including data protection law, employment law, and any other regulatory requirements relevant to your business.
Appropriate Use of HR and Financial Tools. You acknowledge that the HR administration and financial record-keeping tools within the Platform are provided to help you organise your own records for your own business purposes. You are responsible for determining what employee and financial information is appropriate to collect and store, for using that information in compliance with applicable law, and for seeking appropriate professional advice, such as from a qualified accountant, tax adviser, employment lawyer, or payroll provider, where your circumstances require it.
Backups. While we take reasonable steps to maintain the security and integrity of the Platform, you are encouraged to periodically export or back up critical Business Data, and we recommend against relying on the Platform as your sole record of critical business information.
11. Acceptable Use
You agree that you will not, and will not permit any Authorised User to:
- use the Platform for any unlawful purpose, or in any way that breaches applicable law or regulation;
- input, upload, or store any Business Data that you do not have the right to input, upload, or store, including data belonging to third parties without appropriate authorisation;
- attempt to gain unauthorised access to the Platform, other Accounts, or any systems or networks connected to the Platform;
- interfere with or disrupt the operation of the Platform, including through the introduction of viruses, malware, or other harmful code;
- attempt to reverse engineer, decompile, or otherwise access the underlying source code of the Platform, except to the extent permitted by applicable law;
- use the Platform to send unsolicited communications, or in a manner that infringes the intellectual property rights of any third party;
- resell, sublicense, or otherwise make the Platform available to any third party outside of your own Authorised Users, without our prior written consent;
- use the Platform in a way that could damage, disable, overburden, or impair our systems or infrastructure;
- use automated means, such as bots, scripts, or scrapers, to access the Platform, extract data from it, or interact with it, other than through any integrations or interfaces we expressly make available for that purpose;
- misrepresent your identity or your affiliation with any business or individual when creating or using an Account;
- use the Platform to store or process information relating to activities that are illegal in the jurisdiction in which your business operates;
- circumvent or attempt to circumvent any usage limits, security measures, or access controls associated with your Package.
We reserve the right to investigate any suspected breach of this Section and to take appropriate action, including suspension or termination of your Account in accordance with Section 15. Where we reasonably suspect that your use of the Platform poses an immediate risk to the security, integrity, or availability of the Platform, or to other customers, we may take immediate action to suspend or restrict access, and will aim to notify you of the reasons for doing so as soon as reasonably practicable.
You remain solely responsible for ensuring that your own use of the Platform, and that of any Authorised Users you grant access to, complies with this Section and with all other applicable provisions of these Terms. Where a breach of this Section by an Authorised User results in loss or damage to us or to a third party, you acknowledge that you may be held responsible for that breach in accordance with Section 17 (Indemnity).
12. Intellectual Property
Our Intellectual Property. The Platform, including its underlying software, design, structure, trademarks, logos, and all related intellectual property rights, is owned by Edupeak or our licensors. These Terms do not grant you any ownership rights in the Platform; you are granted only a limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms, for as long as you retain the lifetime access granted by your Subscription.
Feedback. If you provide us with feedback, suggestions, or ideas about the Platform, you agree that we may use that feedback without restriction or obligation to you, and that any resulting improvements to the Platform remain our intellectual property.
Your Business Data. Nothing in this Section affects your ownership of your own Business Data, as set out in Section 10.
13. Data Retention, Export, and Deletion
During Your Subscription. For as long as your Subscription remains active, your Business Data will remain accessible to you through your dashboard.
On Account Closure or Termination. Following the closure of your Account, whether by you or through termination under Section 15, we will retain your Business Data for a limited period in accordance with our Privacy Policy, during which you may be able to request access to or export of your data, subject to reasonable conditions. After this period, we may delete your Business Data from our active systems, in accordance with our data retention practices and any applicable legal requirements.
Reactivating a Closed Account. If you close your Account and later decide to resume using the Platform within the retention period referred to above, you may, subject to our discretion and any applicable conditions, be able to reactivate your Account and regain access to your previously stored Business Data by purchasing a new Subscription. We do not guarantee that Business Data will remain available for reactivation beyond the retention period set out in our Privacy Policy, and we would encourage you not to rely on this possibility if timely access to your historical records is important to your business.
Format of Exported Data. Where you request an export of your Business Data, we will provide it in a reasonable format, which may not necessarily match the exact structure in which it was originally entered into the Platform. You are responsible for reviewing exported data to confirm it meets your needs before your access to the Platform ends.
Your Responsibility to Export. We encourage you to export any Business Data you wish to retain before your Subscription ends, or promptly following cancellation, rather than relying on our retention period.
Data Protection. Our collection, use, and handling of personal data, including personal data contained within your Business Data, is described in more detail in our Privacy Policy. Where you input personal data relating to your own customers or employees into the Platform, you act as the data controller for that information, and we act as a data processor on your behalf, processing that data solely to provide the Platform to you and in accordance with applicable data protection law and any separate data processing agreement in place between us.
14. Service Availability and Changes to the Platform
Availability. We aim to keep the Platform available and operating reliably, but we do not guarantee uninterrupted or error-free access. The Platform may occasionally be unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control.
Maintenance. Where possible, we will aim to carry out planned maintenance at times designed to minimise disruption, and to provide reasonable notice of any planned downtime that is likely to materially affect your access to the Platform.
Changes to Features. We may add, modify, or remove features of the Platform from time to time, including in connection with changes to our Package structure, provided that we will use reasonable efforts not to materially reduce the core functionality available to you without reasonable notice.
Third-Party Services. The Platform relies on certain third-party services, including Stripe for payment processing. We are not responsible for the availability or performance of third-party services, although we will take reasonable steps to work with our providers to minimise disruption to you.
Browser and System Requirements. The Platform is designed to be accessed through standard, up-to-date web browsers. We do not guarantee compatibility with outdated browser versions or unsupported operating systems, and we recommend keeping your browser and device software up to date to ensure the best experience with the Platform.
Updates and Improvements. We continually work to improve the Platform, and from time to time this may involve changes to the layout, workflow, or presentation of features within your dashboard. Where such changes are minor or intended to improve usability, we may implement them without prior notice. Where changes are more significant, we will aim to provide reasonable notice in accordance with Section 14 above.
15. Suspension and Termination
Suspension for Failed or Reversed Payment. We may suspend or restrict your access to the Platform if your Subscription payment fails, is declined, or is later reversed (for example, due to a chargeback) and remains unresolved after reasonable attempts to contact you.
Suspension or Termination for Breach. We may suspend or terminate your Account, with or without notice depending on the severity of the circumstances, if we reasonably believe you have breached these Terms, including the Acceptable Use provisions in Section 11, or if your use of the Platform poses a risk to us, to other customers, or to the security or integrity of the Platform.
Your Right to Terminate. You may close your Account and stop using the Platform at any time in accordance with Section 8.
Effect of Termination. Upon termination of your Subscription for any reason, your right to access and use the Platform will end, subject to the data retention and export provisions set out in Section 13. Termination does not relieve you of any payment obligations accrued prior to termination.
Survival. Provisions of these Terms that by their nature should survive termination, including but not limited to Sections 10 (Your Business Data and Your Responsibilities), 12 (Intellectual Property), 16 (Limitation of Liability), 17 (Indemnity), and 19 (Governing Law), will survive the termination of your Subscription.
16. Limitation of Liability
No Warranty for Professional Advice. As set out in Section 3, Edupeak is a software provider only. We do not provide accounting, tax, financial, investment, legal, payroll, or employer-of-record services, and nothing on the Platform or in these Terms should be relied upon as such advice. You are responsible for seeking appropriate professional advice for your business's specific circumstances.
Service Provided "As Is." To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement, except as expressly set out in these Terms or as required by applicable law.
Limitation of Liability. To the maximum extent permitted by applicable law, Edupeak shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, arising out of or in connection with your use of, or inability to use, the Platform, even if we have been advised of the possibility of such damages.
Aggregate Liability Cap. To the maximum extent permitted by applicable law, our total aggregate liability to you arising out of or in connection with these Terms or your use of the Platform, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount of fees paid by you to us for the package giving rise to the claim.
Exceptions. Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be limited or excluded under applicable law.
Responsibility for Your Records. For the avoidance of doubt, and consistent with Section 10, we accept no liability for the accuracy, completeness, or consequences of Business Data entered by you or your Authorised Users, or for decisions made by you in reliance on reports, summaries, or other outputs generated by the Platform based on that Business Data.
17. Indemnity
You agree to indemnify and hold Edupeak, its officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) your Business Data, including any claim that it infringes the rights of a third party or was collected or used unlawfully; (c) your use of the Platform in breach of applicable law; or (d) your, or your Authorised Users', negligent or wrongful conduct in connection with the Platform.
18. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms, and to use such information only for the purposes of performing its obligations or exercising its rights under these Terms. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, that was already known to the receiving party prior to disclosure, or that is required to be disclosed by law or a competent regulatory authority.
19. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Platform, our business practices, or applicable legal or regulatory requirements. Where we make a material change, we will take reasonable steps to notify you, such as by posting an updated version of these Terms on our website with a revised effective date, or by notifying you directly where appropriate. Your continued use of the Platform following any such update constitutes your acceptance of the revised Terms. If you do not agree to a material change, you may close your Account in accordance with Section 8.
21. General Provisions
Entire Agreement. These Terms, together with our Refund Policy and Privacy Policy, constitute the entire agreement between you and Edupeak in relation to your use of the Platform, and supersede any prior agreements or understandings, whether written or oral, relating to that subject matter.
Severability. If any provision of these Terms is found to be invalid or unenforceable by a court or other competent authority, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision, and any waiver of any provision will only be effective if given in writing.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, provided that such assignment does not materially diminish your rights under these Terms.
Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, industrial action, or failures of third-party infrastructure or utilities.
Relationship of the Parties. Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Edupeak.
Notices. Any notices required under these Terms should be sent to the contact details provided in Section 22, or, in our case, to the email address associated with your Account.
22. Customer Support
Support Channels. We provide support to help you get the most out of the Platform, including assistance with setting up your dashboard, understanding your Package's features, and resolving technical issues you may encounter. Support is available through the contact details provided on our website and within your Account.
Response Times. While we aim to respond to support queries as promptly as we reasonably can, response times may vary depending on the nature and complexity of the query, and we do not guarantee a specific response time unless otherwise agreed with you in writing.
Scope of Support. Our support relates to your use of the Platform itself. As set out throughout these Terms, our support team is not able to provide accounting, tax, financial, investment, legal, payroll, or employer-of-record advice in connection with the Business Data you manage using the Platform, and any such queries should be directed to an appropriately qualified professional.
